Agreement to Terms

Welcome to Waiframe ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website and AI-powered wireframing service located at https://waiframe.com (the "Service").

Waiframe is operated from Romania, European Union. By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

Waiframe is a Software-as-a-Service (SaaS) platform that provides:

• AI-powered wireframe generation from text prompts
• Drag-and-drop wireframe editor with 60+ pre-built components
• AI-powered mind map generation and editing
• Clickable prototype creation and preview
• App map visualization
• PRD (Product Requirements Document) generation
• Export functionality for wireframes and mind maps (PDF, JPG)
• Project sharing and collaboration features
• Version history for mind maps (Pro plan)

Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old or have parental consent to use our Service
• One person or legal entity may not maintain more than one free account

Account Responsibilities

• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized access to your account
• You may not share your account credentials with others

Acceptable Use Policy

You May:

• Use the Service for legitimate business and personal purposes
• Create and edit wireframes and mind maps for your projects
• Share projects with collaborators (within your plan limits)
• Export your wireframes and mind maps in provided formats
• Generate PRDs from your wireframe projects

You May Not:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction (including but not limited to copyright laws)
• Transmit any worms, viruses, or any code of a destructive nature
• Attempt to reverse engineer or access our source code
• Use automated tools to access the Service without permission
• Resell or redistribute the Service without authorization
• Create content that is defamatory, obscene, or violates third-party rights
• Circumvent usage limits or abuse AI generation features
• Use the Service to generate harmful, misleading, or illegal content

Free Plan

• 3 AI generations per month
• Maximum of 2 projects (wireframes and mind maps combined)
• 5 screens per wireframe project
• Access to component library, drag-and-drop editor, and app map
• Clickable prototypes and view-only sharing
• PDF/JPG exports with watermark
• 1 PRD per project
• Mind map creation with watermarked exports
• No version history for mind maps

Pro Plan ($29/month or $24/month billed annually)

• Unlimited AI generations
• Unlimited projects and screens
• All Free plan features without watermarks
• Unlimited PRD generation
• Version history for mind maps
• Full collaboration with comments
• Priority support
• Export to code (when available)

Billing Terms

• Paid plans are billed monthly or annually in advance
• All fees are non-refundable unless required by law
• Prices are subject to change with 30 days notice
• Subscriptions automatically renew unless cancelled before the billing cycle
• Payments are processed securely through Stripe

Cancellation

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until the end of your billing period
• After cancellation, your account reverts to the Free plan limits
• We may suspend or terminate accounts for non-payment

Intellectual Property Rights

Your Content

• You retain full ownership of wireframes, mind maps, and content you create
• You grant us a license to store, process, and display your content as necessary to provide the Service
• You are responsible for ensuring you have rights to any content you upload
• We do not claim ownership of your creative work
• We do not use your content to train AI models

AI-Generated Content

• You own the wireframes and mind maps generated using our AI features
• AI-generated content may have similarities to content generated for other users
• You are responsible for reviewing and modifying AI-generated content for your needs

Our Service

• Waiframe owns all rights to the Service, including software, algorithms, and AI integrations
• Our trademarks, logos, and brand elements are protected intellectual property
• You may not copy, modify, or create derivative works of our Service
• The component library designs are provided for use within the Service only

Your privacy is important to us. Our collection and use of your data is governed by ourPrivacy Policy, which is incorporated into these Terms by reference.

• We process your data in accordance with GDPR and applicable privacy laws
• You have rights regarding your personal data as outlined in our Privacy Policy
• We implement appropriate security measures to protect your data
• Your prompts are sent to OpenAI for AI processing (see Privacy Policy for details)
• We use analytics (PostHog) to improve our service

Service Availability and Support

We strive to provide reliable service but cannot guarantee 100% uptime.

• We target high availability but may experience occasional downtime
• Scheduled maintenance will be announced in advance when possible
• Support is provided via email at support@waiframe.com
• Pro plan users receive priority support with faster response times
• We reserve the right to modify or discontinue features with reasonable notice
• AI features depend on third-party services and may have occasional outages

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR PURPOSE
• OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE LAST 12 MONTHS
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
• WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES
• AI-GENERATED CONTENT IS PROVIDED WITHOUT GUARANTEE OF ACCURACY OR SUITABILITY
• THESE LIMITATIONS MAY NOT APPLY IN JURISDICTIONS THAT DO NOT ALLOW THEM

Termination

Termination by You

• You may terminate your account at any time through your account settings
• You can export your data before termination
• Termination does not entitle you to a refund of prepaid fees

Termination by Us

• We may terminate accounts for violation of these Terms
• We may suspend accounts for non-payment or suspicious activity
• We will provide reasonable notice before termination when possible
• Upon termination, your data may be deleted after a 30-day retention period

Governing Law and Disputes

• These Terms are governed by the laws of Romania and the European Union
• Any disputes will be subject to the exclusive jurisdiction of the courts of Romania
• For EU consumers: You may also bring proceedings in your country of residence
• We encourage resolving disputes through direct communication first
• If any provision of these Terms is unenforceable, the remainder will remain in effect

Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will:

• Post the updated Terms on this page
• Update the "Last updated" date at the top of this page
• Notify you via email for material changes
• Provide at least 30 days notice for significant changes affecting your rights

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.
